Dailyn Terms of Use / Public Offer Agreement

1. Acceptance of the Offer and Conclusion of the Agreement

This document constitutes a public offer addressed to an indefinite group of persons.

Your acceptance of this Offer ("Acceptance") occurs by taking any of the following actions:

• accessing or using the Service;
• registering an account;
• logging in through a magic link or other passwordless authentication method;
• starting to use any free version, trial access, or other free functionality of the Service; or
• purchasing a paid subscription.

The agreement between you and Dailyn is deemed concluded from the moment you first complete any of the actions listed above, unless mandatory applicable law requires otherwise.

We may automatically record in our electronic systems the fact of your Acceptance, including the date and time of account registration, authentication through a magic link or similar login method, subscription purchase, plan activation, cancellation, and other relevant actions related to conclusion and performance of this agreement. Such electronic records may be used by us as confirmation that this agreement was concluded and administered through the Service.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that:

• you are at least 16 years old;
• you have the legal capacity to enter into a binding agreement with us; and
• your use of the Service complies with applicable law.

If you are using the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

3. The Service

Dailyn is a digital service that delivers personalized news digests and related content through email, a web dashboard, and related product features.

The Service may include, among other things:

• onboarding and personalization features;
• email digest delivery;
• a user dashboard and account area;
• saved history and related content access; and
• AI-assisted summaries, categorization, recommendations, and other automated features.

We may modify, update, suspend, or discontinue any part of the Service at any time, with or without notice, to the extent permitted by law.

4. Account Registration and Access

To use certain parts of the Service, you may need to create an account. Access may be provided through passwordless login, including magic link authentication sent to your email address.

You agree to:

• provide accurate, current, and complete information;
• keep your account information up to date;
• maintain control over the email account used to access the Service; and
• promptly notify us if you believe your account has been accessed without authorization.

You are responsible for all activity that occurs under your account, to the extent caused by your actions or failure to safeguard access to your email or account.

We reserve the right to refuse registration, reclaim usernames, or restrict access where reasonably necessary for security, legal compliance, abuse prevention, or protection of the Service.

5. Free Access, Paid Plans, and Subscriptions

5.1 Free Access

We may offer limited free access to the Service. The scope of free access may depend on factors such as the number of digests available, the period of access, feature availability, promotional terms, or other conditions described through the Service at the time of the offer.

We may change, limit, or discontinue free access, free features, or promotional offers at any time.

5.2 Paid Plans

We may offer paid subscription plans, including monthly and annual plans. Current pricing, plan features, usage limits, billing intervals, and other commercial terms applicable to your subscription will be presented to you at the time of purchase or otherwise made available through the Service. The price displayed to you on the applicable pricing page, checkout page, or payment flow at the time of purchase will be the price applicable to your order or subscription for that billing period, unless otherwise expressly stated.

Unless otherwise stated, prices are displayed in the currency shown on the checkout page or pricing page at the time of purchase. Taxes, VAT, duties, bank fees, and similar charges may be included or shown separately depending on your location, payment method, and applicable law. Where applicable, the total amount payable will be shown to you during checkout before you complete payment.

5.3 Automatic Renewal

Unless otherwise stated at the time of purchase, paid subscriptions renew automatically at the end of each billing cycle until canceled.

By purchasing a subscription, you authorize us and our third-party payment processor to charge the applicable subscription fees, taxes, and other disclosed charges to your selected payment method on a recurring basis.

5.4 Billing and Payment Processing

Payments are processed through third-party payment service providers we may use from time to time.

We do not guarantee that any specific payment method, payment processor, currency, or billing flow will be available in all regions or at all times.

You agree to provide valid payment information and to keep it current. If a payment fails, we may retry the charge, suspend access to paid features, downgrade your plan, or cancel your subscription if payment is not successfully completed.

5.5 Price Changes

We may change subscription pricing or plan features from time to time. If we do so, we will provide notice where required by law or reasonably appropriate under the circumstances. Price changes will generally apply at the start of the next billing cycle unless otherwise stated.

5.6 Cancellation

You may cancel your subscription through your account settings. Cancellation will take effect at the end of the current paid billing period unless otherwise stated at the time of cancellation.

Except where required by law, canceling a subscription does not entitle you to a prorated refund for the unused portion of the current billing period.

6. Refusal of the Offer, Account Deletion, and End of Use

You may refuse further performance under this Offer at any time by discontinuing use of the Service.

If you have an account, refusal of further use may also include deleting your account or requesting account deletion by contacting us at hello@dailyn.cc.

If you have a paid subscription, stopping use of the Service or deleting your account does not by itself cancel recurring billing unless you also cancel the subscription through your account settings or otherwise through the payment flow made available by us.

Upon account deletion or termination of access:

• your right to access the Service will end, except to the extent continued access is required by law or expressly allowed by us;
• you may lose access to your digest history, saved content, personalization settings, and other account data associated with the Service; and
• any active paid subscription will remain governed by the cancellation and billing terms above unless canceled in accordance with Section 6.

7. Refunds

Refunds are considered case by case and are not guaranteed except where required by applicable law.

We may consider refunds in situations such as:

• duplicate charges;
• billing errors; or
• serious technical failure materially affecting your paid access to the Service.

Refund requests must be submitted within 14 days of the relevant charge or issue. We review refund requests manually.

8. Acceptable Use

You agree not to, and not to permit others to:

• use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
• interfere with or disrupt the integrity, security, or performance of the Service;
• access or attempt to access non-public areas of the Service or related systems;
• scrape, crawl, harvest, or extract content or data from the Service at scale by automated means, except as expressly authorized by us;
• reverse engineer, decompile, disassemble, or attempt to discover the source code, models, prompts, workflows, or underlying components of the Service, except to the extent such restriction is prohibited by law;
• use the Service to build or train a competing product or service, or to systematically republish Dailyn content at scale;
• except as expressly permitted under Section 10, resell, sublicense, commercially redistribute, or repackage the Service or substantial portions of its outputs as a standalone product or service;
• use the Service to transmit malware, spam, or other harmful code or content; or
• misuse the Service in a way that could damage Dailyn, other users, or third parties.

9. Digest Content and Sharing

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service and its content for your personal or internal informational use.

We permit limited sharing of excerpts, quotes, screenshots, and individual digest outputs for personal, editorial, commentary, or informational purposes, including on social media, provided that such sharing:

• is not misleading or deceptive;
• where practical, includes clear attribution to Dailyn;
• does not imply endorsement by Dailyn where none exists;
• does not involve resale or paid redistribution of Dailyn content; and
• does not amount to mass republication, archive mirroring, or repackaging of Dailyn content into a competing or substitute service.

If we reasonably believe that your use of shared content exceeds these permissions or harms the Service, we may require you to stop such use.

10. AI-Assisted Features Disclaimer

Parts of the Service may rely on artificial intelligence, machine learning, automated classification, or third-party model providers.

You acknowledge and agree that:

• AI-generated or AI-assisted outputs may contain errors, omissions, outdated information, or misleading summaries;
• the Service is provided for informational purposes and convenience, and should not be relied on as the sole basis for important business, legal, medical, financial, investment, or other high-stakes decisions;
• Dailyn does not guarantee the completeness, accuracy, reliability, or fitness of any digest, recommendation, classification, or summary; and
• you are responsible for evaluating outputs and exercising your own judgment before acting on them.

11. Intellectual Property

11.1 Our Rights

The Service, including its design, software, workflows, branding, compilations, and all related intellectual property rights, is owned by or licensed to Dailyn and is protected by applicable intellectual property and other laws.

Except as expressly permitted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

11.2 Your Content

You may provide information, preferences, feedback, messages, or other content in connection with your use of the Service (collectively, "User Content").

You retain ownership of your User Content, subject to the rights you grant below.

11.3 License to Us

You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify, and use your User Content solely as reasonably necessary to:

• provide and operate the Service;
• personalize your experience;
• maintain, secure, debug, and improve the Service; and
• comply with legal obligations and enforce these Terms.

12. Third-Party Services

The Service may integrate with or rely on third-party tools, infrastructure, payment processors, hosting providers, analytics providers, authentication providers, email delivery providers, AI providers, and other service providers.

We are not responsible for the availability, security, performance, or content of third-party services, websites, products, or content, except as required by law. Your use of such third-party services may also be governed by their own terms and policies.

13. Suspension and Termination

We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe:

• you have violated these Terms;
• your use poses a security risk;
• your use is fraudulent, abusive, unlawful, or harmful;
• payment for a paid subscription has failed and remains unresolved; or
• suspension or termination is reasonably necessary to protect the Service, users, third parties, or comply with law.

Where reasonably appropriate under the circumstances, we may first provide notice or an opportunity to cure a violation before suspension or termination.

If your account is terminated for serious abuse, fraud, or unlawful conduct, you may lose access immediately. If you cancel your subscription or if we discontinue the Service, your access to paid features will generally continue until the end of the then-current paid billing period unless termination is required for security, legal, or abuse-related reasons.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Dailyn disclaims warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

• the Service will be uninterrupted, error-free, or secure;
• the Service or any content will be accurate, complete, or reliable;
• defects will be corrected; or
• the Service will meet your requirements or expectations.

15. Limitation of Liability

To the maximum extent permitted by law, Dailyn and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, arising out of or related to your use of or inability to use the Service.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:

• the amount you paid to Dailyn for the Service during the 12 months before the event giving rise to the claim; or
• USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Dailyn and its affiliates, directors, officers, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:

• your misuse of the Service;
• your violation of these Terms; or
• your violation of applicable law or the rights of a third party.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict of laws principles.

Before filing a formal legal claim, you agree to first contact us at hello@dailyn.cc and attempt to resolve the dispute informally in good faith.

If a dispute cannot be resolved informally, it will be submitted to the competent courts of the Republic of Uzbekistan, unless applicable law requires otherwise.

18. Privacy Policy and Related Policies

Your use of the Service is also subject to our Privacy Policy and any other policies, rules, or commercial terms that we make available through the Service from time to time, including any refund, billing, or plan-specific terms where applicable.

To the extent applicable, such documents are incorporated into these Terms by reference.

19. Notices

If you need to send us a legal notice, claim, refund request, or other formal communication regarding these Terms or the Service, you should contact us at hello@dailyn.cc, unless we provide another contact method for a specific issue.

We may send notices to you through the email address associated with your account, through the Service interface, or by other reasonable means of communication.

You are responsible for keeping your contact information current.

20. Regional Availability

The Service, certain features, content availability, subscription plans, payment methods, currencies, and billing flows may vary depending on your country, region, language, or device.

We do not guarantee that the Service, or any particular part of it, will be available in every jurisdiction or through every payment method.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the Effective Date or Last Updated date above. We may also provide additional notice where appropriate, such as by email or through the Service.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by law.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other right.

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

These Terms, together with any applicable pricing, plan details, the Privacy Policy, and policies made available through the Service, constitute the entire agreement between you and Dailyn regarding the Service and supersede prior or contemporaneous understandings relating to the Service.
